GENERAL CONDITIONS OF SALE
1 - GENERAL CONDITIONS
All orders imply total acceptance of the present conditions of sale. An exception can only be made through prior agreement with the seller.
2 - ORDERS
The order form signed by the buyer is deemed to be the written record of the order in the event of a modification of the order within a period of 10 days of the order being made by either the buyer of the seller.
If the buyer cancels his order after 10 days, then he will be billed for 10% of the value of the order.
3 - PRICES
Prices are those in effect of the time the order is made. They do not include taxes and are ex-works, from the factory or the warehouse of the seller.
4 - CONDITIONS OF PAYMENT
Invoices are payable at 30 days from the end of the month of the date of the invoice.
Unpaid accounts will be increased automatically by interest calculated pro rata at a rate of 2% per year until the date the account is settled full.
Any expense involved in recovering unpaid sums will be billed to the buyer. In the case of a delay in payment, the seller reserves the right to suspend delivery until previous bills have been paid and to refuse to accept any new orders.
5 - DELIVERY
The buyer assumes all risks involved in transporting the goods. Delivery dates are those stated by the seller. In case of delayed delivery, the buyer must inform the seller in writing of his decision to cancel all or part of his order by recorded delivery letter. Once the seller has received the recorded delivery letter, he has a further 15 days to deliver the goods.
The buyer does not have the right to demand compensation of any kind for late delivery or non-delivery.
The seller is freed from his obligation to deliver by any accidental circumstances or force majeure.
6 - COMPLAINTS
Complaints will be accepted only if they are in writing and within five days of receipt of the good. Under no circumstances may the buyer return the goods without the prior agreement in writing of the seller.
7 - OWNERSHIP OF GOODS
Goods which have been sold, even those held by the buyer, remain the property of the seller until the payment in full of all invoices relating to the goods plus any interest payments. Consequently the buyer can claim them, assuming the goods held by the buyer are those which have not been paid for.
8 - AFTER SALES SERVICE
Over and above automatic legal guarantee against hidden defect, in accordance with the Article 1641 and those which follow it in the French civil code,
TARATATA guarantees all articles for one year from the end of each seasonal collection, i.e.
for the winter collection : 31st December
for the summer collection : 30th June.
The guarantee applies to all defects in materials or manufacture and return of the goods.
Once the guarantee period has elapsed, any repairs will be automatically billed.
9 - SALE OF OUR ARTICLE
The buyer accepts to exhibit and sell the goods only at the address mentioned on the order form.
10 - IMITATION
The buyer is legally prohibited from reproducing either partially or totally any articles he has seen or bought.
He is similarly forbidden to transmit to any third person information enabling that person to reproduce either totally or partially any article.
11 - APPLICABLE LAW
The applicable law is French law. The parties agree that the Caen Commercial Court will judge any case relating to these conditions.
